Definition

A contract for the purchase of specific assets of a business, rather than buying the company's shares. For example, if someone is buying the assets of a motel (buildings, business goodwill, equipment) in NZ, buyer and seller would sign an asset purchase agreement detailing what assets are included and the terms (as opposed to a share purchase of the motel's owning company).
